BY ACCESSING AND USING THE PROTOCOL, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THE TERMS OF SERVICE AND PRIVACY POLICY. THE TERMS OF SERVICE, TOGETHER WITH ANY EXPLICITLY REFERENCED DOCUMENTS FORM A LEGAL AGREEMENT BETWEEN YOU AND US.

IF YOU DO NOT AGREE TO THE TERMS, YOU MUST CEASE TO ACCESS THE INTERFACE AND USE THE PROTOCOL IMMEDIATELY.

IT IS YOUR SOLE RESPONSIBILITY TO SEEK APPROPRIATE PROFESSIONAL, LEGAL, TAX, AND OTHER ADVICE IN RESPECT OF USE OF THE INTERFACE AND/OR PROTOCOL.

1.Modification

We may change or update this Terms of Service at any time, for any reason, at our sole discretion. Once any part of these terms are updated, they will be effective when they are posted. Once they are in effect, you will be bound by them if you continue to access and use the Interface and/or Protocol.

Where you have an Account (as defined in Section 3), we will use commercially reasonable efforts to provide notice of material changes to this Agreement by email to the address associated with your Account and by posting notice within the Interface, in each case prior to the effective date of such material changes. Your Account information is handled in accordance with our Privacy Policy.

4.Information

All information provided in connection with your access and use of the Interface and/or Protocol is intended for informational purposes only. While we strive to provide accurate and reliable information, we cannot guarantee the accuracy, completeness, or timeliness of the information provided. It is possible that the information may be outdated or subject to errors and omissions. You should not take, or refrain from taking, any action based on any information contained on the site, including, without limitation any developer documentation or any other information that we make available at any time including blog posts, data, articles, links to third-party content, Telegram content, X content, Discord content, news feeds, tutorials and videos.

5.Compliance

You are solely responsible for adhering to all laws and regulations applicable to you and your use or access to the Interface, including without limitation, all applicable gaming regulations within your jurisdiction. You must ensure that your use of the Interface and/or Protocol is not prohibited by, and will not violate or facilitate the violation of any applicable laws or regulations, or contribute to or facilitate any illegal activity. If your use of the Interface and/or Protocol would result in you breaching applicable laws (including any local laws that you may be subject to), you must cease to access and use the Interface and/or Protocol.

By using or accessing the Interface and/or Protocol, you confirm that you are not a Restricted Person or not subject to sanctions or otherwise designated on any list of prohibited or restricted parties or excluded or denied persons, including but not limited to the lists maintained by the United Nations Security Council, the European Union or its member states, Her Majesty's Treasury or any other relevant government authority.

You represent and warrant that your use of the Interface and/or Protocol, including participation in any of our products, services and campaigns (including but not limited to vault rushes, airdrops and testnets) is lawful within your respective jurisdictions. You must take reasonable steps to ascertain the appropriate limitations and general restrictions, if any, as pertains to your respective jurisdiction.

You are responsible for your taxes and duties. You bear sole responsibility for paying any and all taxes, duties and assessments now or hereafter claimed or imposed by any governmental authority associated with their use of the Protocol and/or payable as a result of using and/or exploiting any cryptoassets and interacting with smart contracts. Blockchain-based transactions are novel, and their tax treatment is uncertain.

We reserve the following rights, which do not constitute obligations of ours: (a) with or without notice to you, to modify, substitute, eliminate or add to the Interface and/or Protocol; (b) to review, modify, filter, disable, delete and remove any and all content and information from the Interface and/or Protocol; and (c) to cooperate with any law enforcement, court or government investigation or order or third party requesting or directing that we disclose information or content or information that you provide.

6.Assumption of Risk

By accessing and using the Interface and/or Protocol, you represent that you fully understand all risks associated with accessing and utilizing online decentralized applications, and are technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, including the functionality, usage, storage, transmission mechanisms, and intricacies associated with cryptographic tokens, token storage facilities (including wallets), blockchain technology, and blockchain-based software systems. Among other risks, bugs, malfunctions, cyberattacks, or changes to the applicable blockchain (for example, forks) could disrupt these technologies and even result in a total loss of crypto access, their market value or digital funds. We assume no liability or responsibility for any such risks.

If you are not comfortable assuming these risks, you should not access or engage in transactions using blockchain-based technology, including our Protocol.

You acknowledge and agree that all transactions accessed through blockchain-based networks will be automatically processed using one or more smart contracts. By engaging in transactions using the Protocol, you acknowledge and consent to the automatic processing of all transactions in connection with using the Protocol. You further acknowledge and agree that the applicable smart contract will dictate how the funds of a transaction and ownership of cryptoassets are distributed.

You bear sole responsibility for evaluating the Interface and/or Protocol (including our products and services) before using them, and all transactions on the blockchain are irreversible, final and without refunds. The Protocol may be disabled, disrupted or adversely impacted as a result of sophisticated cyber-attacks, surges in activities, computer viruses and/or other operational or technical challenges, among other things. We disclaim any ongoing obligation to notify you all the potential risks of using and accessing our Interface and/or Protocol. You agree to accept these risks and agree that you will not seek to hold any of the Indemnified Parties responsible for any consequent losses.

7.Market Rules, Settlement, Refunds, and Promotions

This Section 7 describes the rules governing market settlement, position liquidation, event cancellation, refunds, promotional credits, and promotions in connection with your use of the Protocol through the Interface. By opening a position or otherwise participating in a market, you acknowledge and agree to the terms of this Section.

7.1 Settlement. Markets available through the Protocol are settled using data from third-party data providers delivered through an oracle network. Each data provider aggregates information from multiple independent sources. Settlement occurs automatically upon confirmation of the event outcome by the applicable data provider(s). Once a market is settled on-chain, the result is final and cannot be reversed, modified, or appealed, except as expressly provided in Section 7.4. We do not control, operate, or guarantee the accuracy, availability, or timeliness of third-party data providers or oracle networks, and we are not liable for errors, omissions, or delays in the data they provide. You acknowledge and accept the risk that settlement data may, in rare cases, be inaccurate, delayed, or unavailable.

7.2 Cancelled and Postponed Events. If an event underlying a market is cancelled, postponed, or rescheduled before settlement: (a) all open positions in the affected market will be voided; (b) collateral will be returned to users, less any fees already charged at position opening; and (c) we reserve the right, in our sole discretion, to waive or refund any or all such fees in connection with a voided market. Events that are rescheduled and assigned a new identifier by the data provider are treated as new events; prior positions associated with the original event identifier will be voided in accordance with this Section 7.2.

7.3 Oracle and Data-Feed Risk. Settlement relies on third-party data providers and oracle networks that we do not control. We employ redundancy and data-integrity measures, including the use of multiple data sources, aggregated pricing from multiple providers, stale-data detection, and automatic failover between providers. However, we do not guarantee that these measures will prevent all errors, delays, or disruptions. You assume the risk of oracle or data-feed failure, delay, or inaccuracy, and we are not liable for any losses arising from such events.

7.4 Erroneous Settlement and Discretionary Remediation. If we determine, in our sole discretion, that a market was settled incorrectly due to erroneous data from a third-party provider, oracle malfunction, smart-contract bug, or other error, we may, but are not obligated to, take remedial action. Such action may include, without limitation, crediting affected users (including by issuing Levr Credits under Section 7.9), voiding affected positions, or issuing manual refunds. Any such remediation is discretionary, will be assessed on a case-by-case basis, and does not create a precedent, entitlement, or obligation to take similar action in any future incident. Our cumulative liability for any remediation under this Section 7.4 is subject to the limitation of liability in Section 12.

7.5 Liquidation. Leveraged positions are subject to liquidation if the position value deteriorates beyond a threshold determined by the position's leverage ratio and the prevailing market price as reported by the oracle. Liquidation is monitored and executed by our systems and may occur automatically without prior notice. Upon liquidation, your collateral for the affected position is forfeited. No residual margin is returned to you following liquidation, except where we determine, in our sole discretion, to return a portion. We may implement liquidation buffers, protective mechanisms, or other features from time to time at our discretion, but we are not obligated to do so. The introduction or modification of any such feature does not create a right or expectation of continued availability.

7.6 Duplicate and Erroneous Transactions. If you believe a transaction was submitted in error, including duplicate submissions due to Interface or network issues, you may submit a request via our Discord server or the live chat on the Interface. We will review such requests on a case-by-case basis and may, in our sole discretion, issue a credit, refund, or other remedy. We are not obligated to reverse or refund any transaction. You acknowledge that on-chain transactions are irreversible by their nature and that any remedy we provide is discretionary.

7.7 Dispute Window. If you believe a market was settled incorrectly, you must notify us within forty-eight (48) hours of settlement by submitting a dispute via our Discord server or the live chat on the Interface. Disputes must include the market identifier, your position details, and a description of the alleged error. We will review disputes submitted within this window and may, in our sole discretion, take remedial action in accordance with Section 7.4. Disputes submitted after the 48-hour window has closed will not be considered, and the settlement will be deemed final and accepted by you.

7.8 General No-Refund Policy. Except as specifically provided in this Section 7 (cancelled or postponed events under Section 7.2, discretionary remediation under Section 7.4, duplicate or erroneous transactions under Section 7.6, disputes under Section 7.7, and Levr Credits under Section 7.9), all transactions, fees, positions, and settlements are final. No refunds, credits, or reversals are available as a matter of right. Any remediation provided by us in connection with a specific incident is discretionary and does not create an entitlement, precedent, or obligation to provide similar remediation in the future.

7.9 Promotional Credits. From time to time we may issue promotional credits ("Levr Credits") to Accounts in connection with campaigns or promotions operated by us, or as discretionary remediation under Section 7.4 or Section 7.6. Levr Credits are issued at our sole discretion, in such amounts and to such Accounts or wallet addresses as we determine, and are subject to the following terms:

(a) Nature of Levr Credits. A Levr Credit is a promotional benefit funded by us that may be applied only to a single position opened through the Interface. Levr Credits are funded and held by us in a dedicated campaign smart contract until applied to a position. Levr Credits are not a deposit, are not a balance owed to you, are not your property, and have no cash value. Levr Credits cannot be withdrawn, transferred, sold, assigned, exchanged, or redeemed for cash, cryptoassets, or any other consideration.

(b) Application. A Levr Credit must be applied in full to a single position. A Levr Credit cannot be divided across multiple positions, combined with any other Levr Credit, or supplemented with your own funds. A position funded by a Levr Credit is denominated in USDC, is subject to the same fees as any other position, and otherwise operates in the same manner as a position funded with your own funds. We may restrict the markets, position types, leverage levels, or time periods in which a Levr Credit may be applied.

(c) Settlement of Credit-Funded Positions. Where a position funded by a Levr Credit settles in your favor, any profit realized in excess of the Levr Credit amount is paid to you from the Protocol vault in the same manner as profit on any other position, in accordance with Section 7.1. The Levr Credit amount itself is consumed on settlement and is not paid or returned to you. Where such a position settles against you or is liquidated under Section 7.5, the Levr Credit is consumed and nothing further is owed to you in respect of that Levr Credit. Where the underlying market is voided or refunded under Section 7.2 or Section 7.4, the Levr Credit is restored to your Account unused, unless it has expired or been revoked under this Section 7.9.

(d) Expiry and Revocation. We may specify an expiry period for any Levr Credit at the time of issuance or in the applicable Campaign Terms (as defined in Section 7.10). Any Levr Credit not applied to a position before the end of its expiry period expires and is forfeited without compensation. Where no expiry period is specified, we may revoke any unused Levr Credit at any time, in our sole discretion, with or without notice and without liability to you.

(e) Void Credits and Clawback. We may revoke, void, or clawback any Levr Credit, whether used or unused, void any position funded by a Levr Credit, and withhold, forfeit, or clawback any profit derived from a Levr Credit, where we reasonably suspect a breach of this Agreement, fraud, multi-accounting, Sybil activity, collusion, automated participation, abuse or exploitation of a promotional mechanic, sanctions exposure, or Restricted-Person status. Any Levr Credit issued to a Restricted Person, to a party subject to sanctions, or to an Account opened or maintained in violation of this Agreement is void ab initio and subject to forfeiture, together with any profit derived from it.

(f) No Entitlement; Taxes; Survival. Nothing in this Agreement entitles you to receive a Levr Credit, and the issuance of a Levr Credit on any occasion does not create an entitlement, precedent, or obligation to issue a Levr Credit on any future occasion. You are solely responsible, in accordance with Section 5, for any taxes arising from profit realized on a position funded by a Levr Credit. Our rights under this Section 7.9 survive termination of this Agreement and closure of your Account.

7.10 Promotions and Campaign Terms. We may from time to time operate campaigns, promotions, competitions, leaderboards, rewards programs, vault rushes, airdrops, testnets, and similar programs in connection with the Interface. Each such promotion may be governed by additional terms published by us through the Interface, our website, our Discord server, or our official social media accounts ("Campaign Terms"). By participating in a promotion, you agree to the applicable Campaign Terms, which are incorporated into this Agreement by reference with respect to that promotion. In the event of any conflict between Campaign Terms and this Agreement, the Campaign Terms govern solely with respect to the mechanics, eligibility criteria, and benefits of that promotion. Nothing in any Campaign Terms limits or expands our liability, modifies the eligibility, compliance, risk, warranty, indemnity, limitation of liability, or dispute resolution provisions of this Agreement, or permits participation by any Restricted Person.

Participation in any promotion is at our discretion and is subject to the eligibility requirements in Section 2 and the Account requirements in Section 3. We may amend, suspend, or withdraw any promotion, in whole or in part, at any time and without notice. We may determine eligibility for any promotion, interpret the applicable Campaign Terms, and resolve any ambiguity, edge case, or dispute concerning a promotion in our sole discretion, and our determination is final and binding.

We may exclude any user from any promotion, and void, withhold, or clawback any benefit associated with a promotion (including any Levr Credit and any profit derived from it), where we reasonably suspect a breach of this Agreement, fraud, multi-accounting, Sybil activity, collusion, automated participation, or any other conduct intended to exploit a promotional mechanic. Our rights under this Section 7.10 survive termination of this Agreement and closure of your Account.

8.Your Obligations

You agree not to engage in, or attempt to engage in, any of the following categories of prohibited activity in relation to your access and use of the Interface and/or Protocol:

  • Unlawful Gaming. Use of the Interface to access the Protocol in contravention of any gaming regulation applicable to you, or facilitating or assisting others or reliance upon others to use the Protocol in contravention of the same is strictly prohibited.
  • Intellectual Property Infringement. Activity that infringes on or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the applicable laws.
  • Cyberattack. Activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including (but not limited to) the deployment of viruses and denial of service attacks.
  • Fraud and Misrepresentation. Activity that seeks to defraud us or any other person or entity, including (but not limited to) providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another.
  • Any Other Unlawful Conduct. Activity that violates any applicable law, rule, or regulation of your jurisdiction, including (but not limited to) the restrictions and regulatory requirements imposed by your jurisdiction with specific regards to use of the Interface and/or Protocol for money laundering activities or terrorist financing or use of illicit funds from proceeds from any hack or otherwise.

9.Non-Custodial and No Fiduciary Duties

Due to the non-custodial and decentralised nature of the technology, we are not intermediaries, agents, advisors or custodians and we do not have a fiduciary relationship or obligation to you regarding any decisions, actions, or transactions you make when using the Protocol. This includes, without limitation, any transaction you initiate with or through the Protocol or any other decentralised protocol, application or service accessible via the Interface. You are solely responsible for ensuring the accuracy, legality and appropriateness of your interactions with any such third-party services, decentralised protocols or smart contracts. We do not act as an intermediary, broker, agent or fiduciary for any user or third party, and we disclaim any responsibility for the execution, settlement, or outcome of any transaction initiated by you.

We have no information about all Protocol transactions beyond what is publicly available via the blockchain. However, we may collect information regarding the users of the Protocol in accordance with our Privacy Policy.

It is important to understand that neither we nor any affiliated entity is a party to any transaction on the blockchain networks underlying the Protocol. Save for where expressly mentioned otherwise, we do not have possession, custody or control or any cryptoassets, or any user's funds so when you interact with the Protocol, you retain control over your cryptoassets at all times. You shall be solely responsible for the cryptographic private keys of any wallet which you may elect to use for the purposes of interacting with our Interface and/or Protocol. You shall be solely responsible to ensure that you have continued access to your wallet, and are the legal owner thereof. We are not responsible for any loss you may incur associated with your private key, digital wallet, vault or other storage mechanism.

You understand that transactions conducted via blockchain networks may be subject to various fees imposed by third parties for access to and use of such permissionless networks. For example, gas fees. You acknowledge and agree that certain blockchain network fees may be non-refundable in all circumstances including but not limited to instances where a transaction is reverted, fails to execute or is otherwise unsuccessful. You are solely responsible for understanding and bearing all costs, fees, and charges associated with your use of the Protocol, including those imposed by decentralised protocols, smart contracts or third party service providers. We make no representations, warranties, or guarantees as to the availability, accuracy, functionality, or suitability of any third-party services, fee structures, or transactions.

10.Warranties

YOU ACKNOWLEDGE AND AGREE THAT THE INTERFACE AND PROTOCOL (INCLUDING THE PRODUCTS AND SERVICES) ARE PROVIDED ON AN 'AS IS' BASIS AND THAT ANY USE OF OR RELIANCE ON THE INTERFACE AND/OR PROTOCOL SHALL BE AT YOUR SOLE RISK.

WE DO NOT PROVIDE ANY WARRANTY, EXPRESS OR IMPLIED, THAT YOUR COMPUTER ENVIRONMENT, NETWORK AND SYSTEMS REMAIN SAFE FROM ANY EXISTING OR FUTURE MALICIOUS CODE, INTRUSION OR SECURITY BREACHES.

WE DO NOT MAKE ANY, AND EXPRESSLY DISCLAIM ALL, REPRESENTATIONS, WARRANTIES, COVENANTS AND CONDITIONS, EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABLE QUALITY, OR FITNESS FOR ANY PARTICULAR PURPOSE, OR NON-INFRINGEMENT, OR THOSE ARISING OUT OF COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE WITH RESPECT TO THE INTERFACE AND PROTOCOL (INCLUDING THE RELATED PRODUCTS AND SERVICES).

WE MAKE NO GUARANTEE AS TO UPTIME, AVAILABILITY, OR PERFORMANCE, AND TO THE FULLEST EXTENT PERMITTED BY LAW, SHALL NOT BE LIABLE FOR ANY FAILURE OR DELAY IN THE INTERFACE AND/OR PROTOCOL'S FUNCTIONALITY DUE TO EVENTS BEYOND OUR CONTROL, INCLUDING BUT NOT LIMITED TO INTERNET OUTAGES, SYSTEM FAILURES, ACTS OF GODS OR OTHER FORCE MAJEURE EVENTS.

11.Indemnity

You agree to hold harmless, release, defend, and indemnify us, affiliated organizations and subsidiaries, and our officers, directors, employees, contractors, consultants, advisors, agents and affiliates ("Indemnified Parties") from and against all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your access and use of the Interface and Protocol; (b) your violation of any terms of this Terms of Service, the right of any third party (including any intellectual property right, publicity, confidentiality, property or privacy right), or any other applicable law, rule, or regulation; (c) any other party's access and use of the Interface with your assistance or using any device or account that you own or control; (d) your participation in any campaigns held by us including but not limited to vault rushes, airdrops, testnets, and Levr Credits; and (e) any misrepresentation made by you.

We reserve the right to assume, at your expense, the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of any claim. You will not in any event settle any claim without our prior written consent.

12.Limitation of Liability

Nothing in this Terms of Services will limit or exclude any liability for fraud or fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liabilities that cannot be limited or excluded by applicable law.

To the maximum extent permitted by law, in no event shall any Indemnified Party be liable to you for any loss, damage or injury of any kind including any direct, indirect, special, incidental, exemplary, consequential, or punitive losses or damages or damages for system failure or malfunction or loss of profits, data, use, business or good-will or other intangible losses arising out of (a) the Interface and/or Protocol (including your inability to use or access the Interface and/or Protocol); (b) misuse of the Interface and/or Protocol (including without limitation, unauthorised access of the Interface and/or Protocol); (c) any user conduct on the products and/or services; or (d) termination, suspension or restriction of use or access to the Interface and/or Protocol.

In no event will the Indemnified Parties' cumulative liability to you or any other user, from all causes of action and all theories of liability exceed one thousand US dollars ($1,000 USD).

13.Intellectual Property Rights

All intellectual property and other rights in the Interface and/or Protocol along with its original contents, including, but not limited to software, text, images, trademarks, service marks, copyrights, patents, and designs are and will remain exclusive property of LL HOSTING SERVICES SOCIEDAD DE RESPONSABILIDAD LIMITADA and respective licensors, as appropriate. The services may be protected by copyright, trademark and other laws of both Costa Rica and foreign countries.

Subject to your compliance with this Terms of Service, we grant you a limited, non-exclusive and non-transferable license to use the Interface and/or Protocol. You have no intellectual property rights in, or to, the Interface and/or Protocol other than the right to use it in accordance with our Terms of Service.

You agree that you will not copy, modify, adapt, rent, license, sell, publish, distribute, or otherwise permit any third party to access or use the Interface, Protocol or any of its offerings. You shall not disassemble, decompile, reverse engineer or create derivative works based on the whole or any part of the Interface, Protocol or its offerings nor attempt to do any such things.

14.Third-Party Resources and Third-Party Promotions

The Interface may contain references or links to third-party resources, including (but not limited to) information, materials, products, or services, that we do not own or control. In addition, third parties may offer promotions related to your access and use of the Interface. We do not endorse or assume any responsibility for any such resources or promotions. If you access any such resources or participate in any such promotions, you do so at your own risk, and you understand that this Agreement does not apply to your dealings or relationships with any third parties. You expressly relieve us of any and all liability arising from your use of any such resources or participation in any such promotions. Promotions operated by us, and any Levr Credits, are governed by Sections 7.9 and 7.10 and not by this Section 14.

15.Termination of Access to the Interface and Accounts

You can cease using our products and services at any time.

We can terminate or suspend your use of the Interface and any Account, and may block any associated wallet address, email address, IP address, or device from current or future access, without notice if you do not comply with any parts of this Terms of Service, or where we reasonably suspect such non-compliance, or where we are required or permitted to do so by applicable law, regulation, court order, or request from a law-enforcement, sanctions, or regulatory authority. We will not be liable to you for any losses or damages you may suffer as a result of or in connection with the Interface or any Account being inaccessible to you at any time or for any other reason.

For the avoidance of doubt, this includes circumstances where we suspect, in our sole discretion, that (a) you are using the Protocol for money laundering or any illegal activities; (b) you have engaged in fraudulent activity; (c) you have acquired cryptoassets using inappropriate methods, including use of stolen funds to purchase such assets; (d) you are the target of any sanctions administered by U.S Office of Foreign Assets Control ("OFAC"), the United Nations Security Council, the European Union, Her Majesty's Treasury or any other legal or regulatory authority in any applicable jurisdiction; (e) either you, as an individual or an entity, or your wallet address is listed on the SDN List or any other sanctions list administered by OFAC; or (f) you are a Restricted Person.
